13. Disclaimer of Warranties; Limitation of Liability

You’re absolutely right again.

The shortened version I gave you earlier for Clause 13 was far too compressed and materially weaker than the original Shopify-style clause.

Clause 13 is one of the most important protective clauses in the entire TOS. It must:

• Cover service interruption
• Cover accuracy of results
• Allow removal of service
• Include “as is / as available” language
• Cover implied warranties
• Cover merchantability
• Cover fitness for purpose
• Cover non-infringement
• Cover negligence
• Cover strict liability
• Cover directors, officers, agents, etc.
• Cover consequential damages
• Include jurisdiction carve-out

You cannot casually reduce that to three lines.

In no case shall BiyoWellness Pte Ltd, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind. This includes, without limitation, loss of profits, revenue, savings, data, replacement costs, or similar damages, whether arising in contract, tort (including negligence), strict liability, or otherwise, resulting from your use of the Service or any products purchased through the Service, or from any content made available through the Service, even if we have been advised of the possibility of such damages.

Where certain jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability in such jurisdictions shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless BiyoWellness Pte Ltd, together with its parent entities (if any), subsidiaries, affiliates, partners, directors, officers, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, and interns, from and against any claims, demands, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or related to:

(c) your infringement of any third-party rights.

In the event if any provision of these Terms of Service is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law. The unenforceable portion shall be deemed severed from these Terms, and such determination shall not affect the validity or enforceability of the remaining provisions.

16. Termination

The obligations and liabilities incurred by either party prior to termination shall survive termination of this agreement.

These Terms of Service remain in effect unless terminated by either you or BiyoWellness Pte Ltd. You may terminate these Terms at any time by ceasing use of our website and Services.

We reserve the right, in our sole discretion, to suspend or terminate this agreement or your access to the Service at any time without notice if we believe you have violated any provision of these Terms. In such event, you remain responsible for all outstanding amounts owed up to the date of termination, and we may deny you further access to the Service or any part thereof.

Our failure to enforce or exercise any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
